GLADLANE TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your access to and use of the services provided by GLADLANE Limited, a company incorporated in England and Wales under company number 16785799, with its registered office at Camburgh House, 27 New Dover Road, Canterbury, Kent, United Kingdom, CT1 3DN ("Gladlane", "we", "us", or "our").
By creating an account or using the Gladlane platform, you ("you" or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1. GLADLANE SERVICES
1.1 Provision of Services. Gladlane shall: (a) make the Services available to you during your subscription term, solely for your own business or personal purposes; (b) use commercially reasonable efforts to maintain the security and integrity of the Services and your data; (c) use commercially reasonable efforts to make the Services available 24 hours a day, seven days a week, except for: (i) planned downtime (for which Gladlane shall give advance electronic notice) or emergency downtime; and (ii) any unavailability caused by a Force Majeure Event; and (d) provide the Services in accordance with applicable laws and regulations.
2. YOUR OBLIGATIONS
2.1 Usage Limits. Your use of the Services shall not exceed the limits associated with your chosen subscription plan. If you exceed such limits, Gladlane may automatically charge you for the additional usage at the applicable overage rates published on the Gladlane website or notified to you in advance. Gladlane shall notify you of any overage usage, and such charges shall be billed in arrears.
2.2 Your Responsibilities. You are responsible for all activity that occurs within your account and for ensuring that any users you authorise comply with these Terms. You shall: (i) comply with Gladlane's reasonable instructions in relation to your use of the Services; (ii) notify Gladlane promptly of any issues relating to the Services and provide all necessary information and cooperation reasonably required by Gladlane to diagnose and remedy such issues; (iii) obtain and maintain, at your own expense, all necessary telecommunications, hardware, software, and internet connectivity required to access the Services; (iv) comply with all applicable laws in connection with your use of the Services; (v) use all reasonable efforts to prevent any unauthorised access to or use of the Services and promptly notify Gladlane of any such unauthorised access or use; and (vi) be solely responsible for the accuracy, completeness, and appropriateness of all data you upload to or use within the Services.
2.3 Restrictions. You shall not: (i) modify, copy, display, republish, or create derivative works based on the Services or Gladlane Technology; (ii) reverse engineer the Services or the underlying software; (iii) access the Services in order to build a competitive product or service, or copy any ideas, features, functions, or graphics of the Services; (iv) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit or make the Services available to any third party, except as contemplated by these Terms; (v) use the Services to send or store infringing, obscene, threatening, defamatory, or otherwise unlawful material; (vi) upload to or use the Services to send or store viruses or other harmful code, files, scripts, agents, or programs; (vii) interfere with or disrupt the integrity or performance of the Services or the data contained therein; (viii) use the Services in a way that breaches applicable laws; or (ix) attempt to gain unauthorised access to the Services or its related systems or networks. Where you breach this clause, Gladlane reserves the right, without liability or prejudice to its other rights, to: (a) disable your access to the Gladlane Platform; (b) remove any content that, in Gladlane's sole and reasonable discretion, breaches these Terms; and/or (c) terminate your account.
3. FEES AND PAYMENT
3.1 Fees. You shall pay the fees associated with your chosen subscription plan as displayed on the Gladlane website or platform at the time of purchase ("Fees"). Except as otherwise specified in these Terms: (a) all payment obligations are non-cancellable, and Fees paid are non-refundable; and (b) your subscription level cannot be decreased during the current billing period.
3.2 Billing. Fees are billed in advance on a monthly or annual basis, as selected by you at the time of subscription. Payment is due immediately upon invoice and will be charged to the payment method you provide. You authorise Gladlane to charge your payment method for all Fees due under these Terms.
3.3 Free Trial. If Gladlane offers a free trial period, you may use the Services at no charge for the duration specified. Unless you cancel before the end of the free trial, your account will automatically convert to a paid subscription and you will be charged the applicable Fees for your selected plan.
3.4 Renewal. Your subscription shall automatically renew for successive periods of the same duration as your initial subscription term unless you cancel before the end of the then-current billing period.
3.5 Price Changes. Gladlane may increase Fees for renewal periods by providing you with at least thirty (30) days' notice prior to the end of your current billing period. Continued use of the Services after such notice constitutes your acceptance of the revised Fees.
3.6 Late Payment. Late payment of Fees may be subject to interest at an annual rate of 4%, or the maximum rate permitted by applicable law, whichever is lower.
3.7 Taxes. All Fees are exclusive of applicable taxes. You are solely responsible for paying all applicable taxes relating to your use of the Services.
3.8 Suspension of Services. If Gladlane has not received payment for any outstanding Fees, Gladlane reserves the right, by giving fourteen (14) days' prior written notice to you, to disable your account and access to the Services if such payment default is not cured within the notice period. You will continue to be charged for the Services during any period of suspension.
4. WARRANTY
4.1 Gladlane Warranty. Gladlane warrants that the Services will be provided with commercially reasonable skill and care during your subscription term.
4.2 Remedies. If the Services do not conform with the warranty in clause 4.1, Gladlane will, at its expense, use commercially reasonable efforts to correct any such non-conformance within a reasonable period of time. This clause sets out your sole and exclusive remedy and Gladlane's entire liability for breach of clause 4.1.
4.3 Disclaimers. The Gladlane Platform and Services are provided on an "AS IS" basis. Gladlane does not make any warranty as to the results that may be obtained from the use of the Services, except as expressly set forth in these Terms. The warranty in clause 4.1 shall not apply to the extent of any non-conformance caused by: (i) your use of the Services contrary to Gladlane's instructions or otherwise in breach of these Terms; or (ii) modification or alteration of the Services by any party other than Gladlane or its authorised contractors. Gladlane: (a) does not warrant that your use of the Services will be uninterrupted, error-free, or that they will meet your specific requirements; (b) is not responsible for any delays, delivery failures, or other loss or damage resulting from your access to and use of the Services or third-party applications, or the transfer of data over communications networks, including the internet; (c) is not responsible for any virus not detected by reasonable current commercial methods or transmitted through third-party services; and (d) to the extent permissible under applicable law, disclaims all other warranties, express or implied, including warranties of fitness for a particular purpose, performance, and merchantability.
5. DATA PROTECTION
5.1 Data Processing. Each party shall comply with applicable data protection laws in connection with these Terms. You are the data controller of your data and appoint Gladlane as the data processor to process your data for the purposes described in these Terms.
5.2 Data Processing Addendum. The parties shall comply with the data processing addendum ("DPA") found at https://www.gladlane.com/data-processing-addendum with respect to the processing of any personal data pursuant to these Terms.
6. PROPRIETARY RIGHTS
6.1 Licence to Use. Subject to payment of the applicable Fees and your compliance with these Terms, Gladlane grants you a non-exclusive, non-transferable, revocable licence, solely during your subscription term, to access and use the Services for your own purposes.
6.2 Reservation of Rights. Except for the limited rights expressly granted to you under these Terms, Gladlane reserves all rights, title, and interest in and to the Services and the Gladlane Technology, including all related intellectual property rights. No rights are granted to you other than as expressly set forth in these Terms.
6.3 Your Data. As between Gladlane and you, you retain ownership of all rights, title, and interest in your data. Your data is deemed your confidential information under these Terms. During your subscription term, you grant Gladlane a non-exclusive, royalty-free licence to use your data solely to: (i) provide the Services to you; and (ii) make improvements to the Services. Gladlane shall not be responsible for any loss, destruction, alteration, or disclosure of your data caused by any third party (except those subcontracted by Gladlane), except to the extent caused by Gladlane's negligence or wilful misconduct.
6.4 Aggregated Anonymous Data. Gladlane may aggregate metadata and usage data collected through the Services so that the results are non-personally identifiable with respect to you ("Aggregated Anonymous Data"). All Aggregated Anonymous Data is anonymised in line with the GDPR's understanding of anonymised data. Gladlane may use the Aggregated Anonymous Data, both during and after your subscription term: (i) for internal statistical analysis; (ii) to develop and improve the Services; and (iii) to create and distribute reports regarding use of the Services. Nothing in this clause gives Gladlane the right or ability to identify you as the source of any Aggregated Anonymous Data.
6.5 Intellectual Property. Gladlane and its licensors own all rights, title, and interest, including all intellectual property rights, in the Gladlane Technology and Services. These Terms do not convey to you any rights of ownership in or related to the Services, Gladlane Technology, or Gladlane's intellectual property. If you provide suggestions, ideas, recommendations, or other feedback ("Feedback") regarding the Services, you agree that Gladlane is free to use such Feedback without any obligation or compensation to you.
7. TERM AND TERMINATION
7.1 Term. These Terms commence when you create an account and shall continue for the duration of your subscription, including any renewal periods, unless terminated in accordance with this clause.
7.2 Cancellation by You. You may cancel your subscription at any time through your account settings or by contacting Gladlane at legal@gladlane.com. Cancellation will take effect at the end of your current billing period. No refunds will be issued for any unused portion of a billing period, except where required by applicable law.
7.3 Termination for Cause. Either party may terminate these Terms if: (i) the other party is in material breach and fails to cure such breach within thirty (30) days of receiving written notice; or (ii) the other party becomes subject to any insolvency, bankruptcy, or analogous proceedings.
7.4 Effect of Termination. On termination or expiration of these Terms for any reason: (i) your rights to access and use the Services shall immediately terminate; (ii) unless terminated by you due to Gladlane's breach, you shall pay all Fees due through the end of the then-current billing period; and (iii) clauses 5, 6.2, 6.4, 6.5, 7.4, 8, 9, 10, and 11 shall survive termination.
8. CONFIDENTIALITY
8.1 Obligations. Each party shall hold the other's confidential information in confidence and not disclose it to any third party or use it for any purpose other than the performance of obligations under these Terms. Each party shall take reasonable steps to protect the other's confidential information from unauthorised disclosure.
8.2 Exceptions. Confidential information does not include information that: (i) is or becomes publicly known other than through any act or omission of the receiving party; (ii) was lawfully in the receiving party's possession before disclosure; (iii) is lawfully disclosed by a third party without restriction; or (iv) is independently developed by the receiving party.
8.3 Compelled Disclosure. If either party is legally compelled to disclose confidential information, the receiving party will provide prompt written notice to the other party (where legally permitted) so that the other party may seek a protective order or other remedy.
8.4 Duration. Confidentiality obligations shall survive termination for two (2) years, except that obligations relating to personal data shall continue indefinitely and obligations relating to trade secrets shall continue for as long as the information remains a trade secret.
9. INDEMNIFICATION
9.1 Gladlane Indemnification. Gladlane will defend you against third-party claims that your use of the Services in accordance with these Terms infringes any third party's intellectual property rights, provided that you: (a) give Gladlane prompt written notice of the claim; (b) give Gladlane sole control of the defence and settlement; and (c) provide reasonable assistance at Gladlane's cost. If the Services are held or likely to be held infringing, Gladlane may, at its discretion and expense: (i) modify the Services; (ii) obtain a licence for you to continue using the Services; (iii) replace the Services with a functionally equivalent service; or (iv) terminate your subscription and provide a pro-rata refund for any pre-paid but unused Fees. This clause states Gladlane's entire liability and your exclusive remedy for intellectual property infringement claims.
9.2 Your Indemnification. You will defend Gladlane against third-party claims arising from: (i) your use of the Services in violation of these Terms; and/or (ii) your data, provided that Gladlane: (a) gives you prompt written notice; (b) gives you sole control of the defence and settlement; and (c) provides reasonable assistance at your cost.
10. LIMITATION OF LIABILITY
10.1 Cap on Liability. Subject to clauses 10.2 and 10.3, each party's aggregate liability under or in connection with these Terms shall be limited to the total Fees paid by you in the twelve (12) month period immediately preceding the date on which the claim arose.
10.2 Exclusions at Law. Neither party excludes liability for: (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability which cannot be excluded by law.
10.3 Exclusion of Consequential Damages. To the maximum extent permitted by applicable law, neither party shall be liable to the other for any special, consequential, incidental, or indirect damages, or for loss of profits, anticipated savings, business opportunity, goodwill, revenue, use, or data, or costs of procuring substitute goods or services, howsoever caused, even if advised of the possibility of such damages.
10.4 Gladlane Exclusions. Gladlane shall not be liable to you: (i) for damage caused by errors or omissions in information or data you provide; (ii) for third-party products or services accessed through the Services (excluding Gladlane's own subcontractors); (iii) where any failure is caused by network, hardware, or software faults not under Gladlane's control; (iv) for your acts or omissions contrary to Gladlane's instructions; (v) for use of the Services in breach of these Terms; (vi) for unauthorised access caused by your acts or omissions; or (vii) for loss caused by your delay or failure to provide required information or cooperation.
11. GENERAL
11.1 Entire Agreement. These Terms set out the entire agreement between you and Gladlane and supersede any previous agreement relating to its subject matter. In entering into these Terms, each party acknowledges that it has not relied on any representations not expressly set out herein.
11.2 Force Majeure. Neither party shall be liable for failure or delay in performance (except for payment obligations) caused by events beyond its reasonable control, including acts of war, natural disasters, epidemics or pandemics, government restrictions, or internet or telecommunications outages.
11.3 Governing Law and Jurisdiction. These Terms shall be governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
11.4 Third Party Rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce or enjoy the benefit of any term herein.
11.5 Assignment. You may not assign or transfer these Terms without Gladlane's prior written consent. Gladlane may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
11.6 Notices. Gladlane may send notices to you via email at the address associated with your account or through the Services. You may send notices to Gladlane at legal@gladlane.com.
11.7 Variations. These Terms may only be modified by Gladlane by publishing updated Terms on the Gladlane website. Continued use of the Services after such updates constitutes your acceptance of the revised Terms.
11.8 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that achieves the same commercial intent as closely as possible.
11.9 Waiver. The waiver of one breach or default shall not constitute a waiver of any subsequent breach or default.
12. DEFINITIONS
"Aggregated Anonymous Data" means metadata and usage data collected through the Services that has been aggregated so that results are non-personally identifiable with respect to you.
"Applicable Law" means all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the Services.
"Confidential Information" means any non-public information concerning a party's business or affairs disclosed in connection with these Terms.
"Fees" means the subscription fees payable under these Terms as displayed on the Gladlane website or platform.
"Force Majeure Event" means an event outside the reasonable control of a party, including acts of war, hostility, sabotage, natural disasters, epidemics or pandemics, government restrictions, denial of service attacks, or internet or telecommunications outages not caused by the affected party.
"Gladlane Platform" means the cloud-hosted platform that Gladlane makes available to you in accordance with these Terms.
"Gladlane Technology" means the Gladlane Platform, the application and database software for the Services, and any other technology or software used by Gladlane to provide the Services.
"Intellectual Property Rights" means all intellectual property rights, including patents, trademarks, copyrights, design rights, database rights, trade secrets, and know-how, whether registered or unregistered, anywhere in the world.
"Services" means the Gladlane platform services made available to you under your subscription plan.
"Taxes" means any applicable taxes, including withholding, sales, use, excise, and value-added tax, but excluding taxes based on Gladlane's income.
"Virus" means any software, code, file, or program that may prevent, impair, or adversely affect the operation of any computer software, hardware, network, or service, including worms, trojan horses, and viruses.
